1. Provider, scope and conclusion of contract
1.1 These Terms of Service ("Terms") govern the use of the Shopify app DiscountHero (the "App") provided by HeroSoftware GmbH, Walramstraße 23, 65510 Idstein, Germany, commercial register Amtsgericht Wiesbaden HRB 34094, VAT ID DE360788620, e-mail post@hero.software ("HeroSoftware", "we", "us").
1.2 The App is offered exclusively to businesses. By installing the App, you confirm that you use the App for your commercial or independent professional activity (§ 14 BGB) and not as a consumer ("Merchant", "you").
1.3 The contract is concluded when you install the App via the Shopify App Store. By installing or using the App, you accept these Terms. If you do not agree to these Terms, do not install or use the App. These Terms include the Data Processing Agreement for DiscountHero ("DPA"), which forms part of them. We refer to these Terms in the Shopify App Store listing, in the App and in our welcome e-mail after installation.
1.4 Your general terms and conditions do not apply, even if we do not expressly object to them. Individual written agreements, in particular enterprise agreements, take precedence over these Terms.
1.5 Shopify's terms for the Shopify App Store and Shopify's billing system apply in addition to the extent they concern the installation, uninstallation and billing of the App.
2. Services
2.1 The scope of the services is described in Annex A.
2.2 We develop the App continuously. We may add, change or remove features, provided this does not materially restrict the core functions described in Annex A for you. We announce material changes in good time.
2.3 We strive for high availability of the App but do not guarantee a specific availability. Maintenance, updates and disruptions of Shopify, hosting providers or other third parties may temporarily restrict the App. We announce planned maintenance in advance where reasonably possible. Specific service levels apply only if agreed individually in writing.
2.4 The App relies on Shopify's platform and APIs and on the third-party services listed in the DPA, Annex 3. We select these services carefully but cannot guarantee that data provided by Shopify or by these services is complete and correct.
2.5 Features marked as "beta" or "preview" are provided for testing purposes. They may be changed or discontinued at any time.
3. Trial, fees and billing
3.1 The billing models are described in Annex A. The current plans, prices and trial periods are shown in the Shopify App Store listing and, where available, on the App's pricing page. The prices you approve in Shopify's billing confirmation apply. Individual prices may be agreed for enterprise customers.
3.2 All fees are charged in US dollars through Shopify's billing system, in accordance with Shopify's billing cycles. Prices are net of any applicable taxes.
3.3 Where fees are usage-based, they are calculated on the basis of the usage measured by the App. You can view your usage in the App. If you believe a measurement is incorrect, please notify us within 30 days of the charge.
3.4 We may change prices with at least 30 days' notice by e-mail to your store's e-mail address. Changes take effect at the start of the next billing cycle after the notice period. If you do not agree, you may terminate before the change takes effect by uninstalling the App. Where Shopify requires your renewed approval of a price change, the new price applies only once you have approved it in Shopify.
3.5 Fees already incurred remain payable after termination. Fees for partial billing periods are not refunded unless required by law. If we terminate the contract with notice (Section 11.3) or discontinue the App (Section 11.6), we refund prepaid fees for the period after the end of the contract pro rata.
4. Your obligations
4.1 You are responsible for:
a) the configuration of the App and the settings and content you choose,
in particular, the rules for blocking discounts and their proportionality, informing buyers about the restrictions in your discount terms, and enabling buyers to contact you if a discount was blocked wrongly;
b) the lawful operation of your store, including informing your buyers about the use of the App in your privacy policy (a text proposal is provided in the DPA, Annex 8);
c) the confidentiality of your Shopify access data;
d) keeping your store's e-mail address up to date and reachable. Notices under these Terms and the DPA are sent to this address. You may not rely on the non-receipt of a notice if it was not received because the address was outdated or not monitored;
e) not sending buyer data in support requests where avoidable; please refer to orders by order number.
4.2 You may not reverse engineer, decompile, resell or sublicense the App, use it in a way that impairs its operation or security, or use it in connection with unlawful products or services or in breach of Shopify's Acceptable Use Policy. You may not use the App to process special categories of personal data (Art. 9 GDPR).
4.3 Use of the App is not permitted for merchants located in, or acting on behalf of persons in, countries or regions subject to EU, UN or US sanctions or embargoes.
4.4 Templates, default settings, recommendations, documentation and support do not constitute legal, tax or compliance advice.
4.5 Figures on additional revenue, conversion rates, savings, return on investment, error rates or avoided costs shown in the App, in reports, offers or conversations are estimates. They do not constitute an agreed quality of the services or a guarantee.
5. Data protection
5.1 Where we process personal data of your buyers on your behalf, the DPA applies. It forms part of these Terms.
5.2 For data relating to you and your staff (e.g. account, billing and support data), we act as an independent controller. Details are set out in our Privacy Policy.
5.3 We use your store's e-mail address to send you information about our own similar apps and features. You can object to this at any time without incurring any costs other than transmission costs at basic rates, via the unsubscribe link in every e-mail or by e-mail to post@hero.software.
6. Rights of use
6.1 For the term of the contract, we grant you a non-exclusive, non-transferable right to use the App for your own Shopify stores. All other rights remain with us or our licensors.
6.2 If you send us suggestions or feedback, we may use them free of charge to improve our services.
6.3 We may name you as a customer with your company name and logo on our website and in presentations. You can object at any time by e-mail to post@hero.software. We use results or figures from your account only with your separate consent.
7. Defects
7.1 We remedy defects of the App within a reasonable period after you have notified us of them in text form with a comprehensible description.
7.2 Strict liability for defects that already existed at the time of conclusion of the contract (§ 536a(1), first alternative, BGB) is excluded.
7.3 Rights due to defects do not exist for results that are caused by incorrect or incomplete data provided by Shopify, by third-party services (Section 2.4) or by you, unless we are responsible for the error.
8. Liability
8.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, in the event of fraudulent concealment of a defect and to the extent we have given a guarantee.
8.2 In cases of slight negligence, we are liable only for breaches of material contractual obligations (obligations whose fulfilment is essential for the proper performance of the contract and on whose fulfilment you may regularly rely). In this case, our liability is limited to the typical damage foreseeable at the time of conclusion of the contract, and in total per contract year to the fees you paid for the App in the twelve months before the event causing the damage, but at least EUR 5,000.
8.3 In cases of slight negligence, lost profit, lost revenue and indirect damage are compensated only to the extent that they are typical and foreseeable damage within the meaning of Section 8.2.
8.4 The above limitations also apply to the personal liability of our employees and agents.
9. Indemnification
You indemnify us against claims of third parties, including reasonable costs of legal defence, that arise from your unlawful use of the App or from a breach of these Terms, unless you are not responsible for the breach.
10. Confidentiality
Each party protects the other party's confidential information, in particular non-public business, technical and financial information, with at least the same care it applies to its own, and no less than reasonable care. This obligation continues for three years after the end of the contract. It does not apply to information that is publicly available, was developed independently or must be disclosed by law.
11. Term and termination
11.1 The contract runs for an indefinite period.
11.2 You may terminate at any time by uninstalling the App or cancelling your plan via Shopify.
11.3 We may terminate with 30 days' notice by e-mail. The right to terminate for good cause remains unaffected. Good cause exists in particular in the case of material breaches of these Terms, abusive use of the App or non-payment.
11.4 We may temporarily suspend access to the App, in whole or in part, if this is necessary to avert a security risk, in the event of abusive use, a breach of sanctions (Section 4.3) or of Shopify's requirements, or in the event of non-payment. We limit the suspension to what is necessary, inform you in advance where possible, and lift it as soon as the reason no longer applies.
11.5 After termination, we delete your data in accordance with the DPA.
11.6 If we discontinue the App, we announce this at least 30 days in advance. Until then, you can export your data. No fees are charged after the App is discontinued; prepaid fees are refunded pro rata (Section 3.5).
12. Changes to these Terms
12.1 We may amend these Terms with effect for the future, for example due to new features, changes in the law or changes to Shopify's requirements.
12.2 We inform you of the amended Terms at least 30 days before they take effect by e-mail to your store's e-mail address. The notice contains the new version and the main changes.
12.3 The amended Terms apply from the effective date stated in the notice. By continuing to use the App after that date, you accept the amended Terms. If you do not agree, your only option is to stop using the App by uninstalling it before the effective date (Section 11.2). No further fees are incurred after uninstallation.
12.4 Changes to prices are governed by Section 3.4, changes to the list of sub-processors by the DPA.
13. Switching and data export
13.1 During the term of the contract, you may request an export of your data (your settings and rules and the data stored by the App for your shop as described in Annex 1 of the DPA) in CSV or JSON format at any time and free of charge by e-mail to post@hero.software. We provide the export within 10 working days. We recommend requesting the export before uninstalling the App. After uninstallation, you can request an export within 30 days; exports requested within this period are provided even if delivery takes place later. The data is then deleted in accordance with the DPA.
13.2 If you want to switch to another provider, we support you with the export. We do not charge switching fees.
14. Final provisions
14.1 These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
14.2 The exclusive place of jurisdiction is Wiesbaden, Germany, if you are a merchant (Kaufmann), a legal entity under public law, or have no general place of jurisdiction in Germany. We may also sue you at your place of business.
14.3 We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
14.4 If a provision of these Terms is invalid, the remaining provisions remain unaffected.
14.5 If these Terms are provided in other languages, the English version prevails.
Annex A: Service description and billing model
A.1 Services
DiscountHero helps you prevent the misuse of discount codes in your Shopify store. Depending on your settings, the App:
- checks in the checkout whether a discount code may be used, based on the rules you define (e.g. limits per customer, e-mail address, telephone number, address or IP address, reuse of single-use codes);
- blocks the discount if a rule is violated;
- records discount-related checkout events to detect misuse, via a Shopify web pixel that only runs if the buyer has given the consent required in your store;
- shows you checks, blocked attempts and statistics in the App.
The App requires Shopify Plus and the DiscountHero checkout extension to be added in the checkout editor. Detailed documentation is available at https://support.hero.software.
A.2 Billing model
The current plans and prices are shown in the Shopify App Store listing. The prices you approve in Shopify's billing confirmation apply.
- Standard plan: fixed fee per month or per year, with a free trial as shown in the listing.
- Enterprise: individual prices by agreement.
